Introduction

Welcome to Reporty ("Reporty," "we," "us," or "our'"). These Website Terms and Conditions ("Terms") govern your access to and use of the Reporty website located at www.reporty.sa, our mobile applications, our AI-powered Services, and any related platforms or content (collectively, the "Platform"). Please read these Terms carefully before using the Platform. By accessing or using the Platform in any manner, you agree to be legally bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms in their entirety, you must discontinue use of the Platform immediately.

1. Definitions

In these Terms, the following definitions apply:

1.1 "Agreement" means these Terms and Conditions together with our Privacy Policy, Cookie Policy, and any other policies or agreements referenced herein or available on the Platform.

1.2 "AI Services" means Reporty's artificial intelligence features, including virtual receptionist agents (Maha), virtual doctor agents (Dr. Norah, Dr. Aziz), virtual pharmacist agents (Dr. Hamad), virtual marketing agents (Badr), AI-assisted dental and medical imaging analysis, and any other AI-powered features offered on the Platform.

1.3 "Healthcare Provider" means any licensed clinic, hospital, dental clinic, pharmacy, physician, dentist, pharmacist, or other healthcare entity that registers for and uses the Platform to deliver or support healthcare services.

1.4 "Patient" means any individual who interacts with the Platform, directly or indirectly through a Healthcare Provider's AI-powered communications, or who accesses healthcare-related features.

1.5 "User" means any individual or entity accessing the Platform, including Healthcare Providers, Patients, researchers, and general visitors.

1.6 "Content" means all text, images, data, software, video, audio, communications, AI-generated outputs, and other materials available on or through the Platform.

1.7 "User Content" means any Content submitted, uploaded, or transmitted by a User through the Platform.

1.8 "Meta Platforms" means the services offered by Meta Platforms, Inc., including WhatsApp, Instagram, and Facebook.

1.9 "PHI" means Protected Health Information as defined under HIPAA.

1.10 "Services" means all features, tools, products, and services offered through the Platform.

2. About Reporty

Reporty is an AI-powered healthcare engagement platform that provides virtual AI agents for patient communication, appointment management, follow-up care, medical imaging analysis, and marketing automation. Our Services are designed for Healthcare Providers (clinics, hospitals, and pharmacies) and facilitate interactions with their patients via web, app, WhatsApp, Instagram, and other digital channels. Reporty operates globally and is headquartered in the Kingdom of Saudi Arabia.

3. Eligibility

3.1 The Platform is intended for use by individuals who are at least 18 years of age and capable of forming legally binding contracts under applicable law.

3.2 By using the Platform, you represent and warrant that you meet the applicable eligibility requirements, that you have the legal authority to enter into this Agreement on behalf of yourself or any entity you represent, and that your use complies with all applicable laws and regulations.

3.3 Minors under the age of 18 may not create accounts directly. Where a Healthcare Provider uses the Platform in connection with a minor patient, the responsible parent or guardian must provide appropriate consent and the Healthcare Provider assumes full responsibility for compliance with applicable minor data protection requirements.

3.4 Reporty reserves the right to refuse access to the Platform to any User at any time, with or without cause, at its sole discretion.

4. Registration And Account

4.1 To access certain features, you must create an account. You agree to provide accurate, current, and complete registration information and to maintain and promptly update such information.

4.2 You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@reporty.sa of any unauthorized use or suspected security breach.

4.3 You may not share your account credentials with any unauthorized third party. Each individual or entity may hold only one account unless expressly permitted by Reporty in writing.

4.4 Reporty reserves the right to suspend or terminate accounts that contain inaccurate or misleading information, or that are found to be in violation of these Terms.

5. Services And AI Features

5.1 Nature of AI Services Reporty's Platform operates through AI agents that communicate with patients on behalf of Healthcare Providers via text, WhatsApp, Instagram, and other digital channels. These AI agents include: e Maha — Virtual AI Receptionist: Schedules appointments, answers patient inquiries, sends reminders, and manages attendance; e Virtual AI Doctors (Dr. Norah, Dr. Aziz): Follow up on patient health between visits, share reports, and send remote consent forms; e Dr. Hamad — Virtual AI Pharmacist: Sends medication reminders and pharmacy promotions; e Badr — Virtual AI Marketing Specialist: Creates and distributes healthcare marketing content via WhatsApp and other channels; e AI Dental & Medical Imaging Analysis: Analyzes uploaded radiographs and other medical imaging to assist (not replace) clinical diagnosis.

5.2 AI-Assisted Medical Communications Reporty's AI agents may deliver communications that contain medical information, health guidance, post-visit instructions, or medication reminders. Such content is generated based on the clinical input, templates, and protocols established by the Healthcare Provider responsible for the patient's care. The Healthcare Provider is solely responsible for the clinical accuracy, appropriateness, and completeness of all AI-generated medical communications sent through the Platform. Reporty acts as a technology facilitator only and does not independently verify the clinical content configured by Healthcare Providers. Patients who receive AI- generated health communications should always consult their treating Healthcare Provider with any clinical questions or concerns.

5.3 Meta Platform Integration — Service Delivery Channels Reporty uses Meta Platforms (WhatsApp Business API, Facebook Messenger, and Instagram Direct Messages) as primary channels through which its AI-powered Services are delivered to patients on behalf of Healthcare Providers. This means that patients interact with Reporty's AI virtual agents — including the virtual receptionist, virtual doctor, virtual pharmacist, and virtual marketing agent — directly inside WhatsApp conversations, Facebook Messenger threads, and Instagram DMs. By enabling Meta-channel features, Healthcare Providers and Users acknowledge and agree that: e Reporty's AI agents may communicate with patients via WhatsApp, Facebook Messenger, and Instagram DM on behalf of the Healthcare Provider, delivering appointment scheduling, health follow-ups, medical information, and other services within those messaging environments; e Such communications, including any medical or health-related content generated by AI agents, are based on clinical templates, protocols, and information configured by the responsible Healthcare Provider, who bears full responsibility for their clinical accuracy; e Communications through Meta Platforms are subject to Meta's Terms of Service and Platform Policies; e Patient consent must be obtained before activating any AI agent communication channel through Meta Platforms; e Reporty is not responsible for interruptions, changes, or termination of Meta Platform services; e Message delivery and functionality are subject to Meta's policies and technical limitations; e You are responsible for compliance with all applicable anti-spam, telemarketing, and electronic communication laws in your jurisdiction.

5.4 Service Availability While we strive for continuous availability, the Platform may experience scheduled downtime for maintenance or unplanned outages. We do not guarantee uninterrupted, error-free access to the Platform. Reporty shall not be liable for any loss or damage resulting from Platform unavailability.

6. Subscription And Payment

6.1 Access to Reporty's Services requires a paid subscription. Subscription plans, fees, and billing cycles are as published on the Platform and may be updated from time to time with reasonable notice.

6.2 All fees are quoted in the applicable currency and are exclusive of applicable taxes, which you are responsible for paying.

6.3 Payments are accepted by credit card (Visa, Mastercard) and other payment methods as available. Payments are processed through secure third-party payment gateways. Reporty does not store your payment card details.

6.4 Subscriptions auto-renew unless cancelled prior to the renewal date. You may cancel your subscription through your account settings or by contacting support@reporty.sa.

6.5 Reporty reserves the right to modify pricing at any time. Changes will be communicated with at least 30 days' notice before taking effect on existing subscriptions.

6.6 All fees are non-refundable unless otherwise required by applicable consumer protection law in your jurisdiction or as set out in our Refund Policy.

7. Acceptable Use

7.1 You agree to use the Platform only for lawful purposes and in compliance with all applicable local, national, and international laws and regulations.

7.2 You must not use the Platform to: a) Upload, transmit, or distribute content that is unlawful, harmful, defamatory, obscene, fraudulent, or violates any third party's rights; b) Impersonate any person or entity or misrepresent your affiliation with any person or entity; c) Collect, harvest, or scrape personal data from the Platform without authorization; d) Use automated tools, bots, or scripts to access or interact with the Platform except as expressly permitted; e) Upload or transmit malware, viruses, or other harmful code; f) Interfere with the security, integrity, or availability of the Platform or its infrastructure; g) Engage in any unauthorized commercial activity, including promoting competing services through the Platform; h) Violate any patient privacy rights, data protection laws, or healthcare regulations; i) Use the Platform to send unsolicited communications to individuals who have not consented to receive them; j) Circumvent, disable, or interfere with any security or access control features of the Platform.

7.3 Reporty reserves the right to investigate and take appropriate action in response to violations of these Terms, including suspending or terminating your account, reporting violations to law enforcement, and pursuing civil remedies.

8. User Content

8.1 You retain ownership of User Content you submit to the Platform. By submitting User Content, you grant Reporty a non-exclusive, worldwide, royalty-free license to use, host, store, process, and display such content solely to the extent necessary to provide the Services.

8.2 You represent and warrant that you have all necessary rights, consents, and authorizations to submit User Content, including any patient data or health information, and that such submission does not violate any applicable law or third-party rights.

8.3 Reporty may remove or disable access to User Content that violates these Terms or applicable law, without notice and without liability to you.

8.4 Reviews, feedback, and suggestions you provide to Reporty may be used by Reporty for platform improvement purposes without compensation or attribution.

9. Intellectual Property

9.1 All intellectual property rights in the Platform and its Content — including trademarks, logos, software, AI models, designs, text, graphics, and audiovisual materials — are owned by or licensed to Reporty and are protected under applicable intellectual property laws.

9.2 Nothing in these Terms grants you any right to use Reporty's name, logo, brand, or any proprietary materials without prior written consent.

9.3 You may not reproduce, modify, distribute, create derivative works from, publicly display, sell, or exploit any portion of the Platform for commercial purposes without our express written permission.

9.4 The Reporty name, logo, and all related product and service names are trademarks or service marks of Reporty. All other trademarks appearing on the Platform are the property of their respective owners.

10. Privacy And Data Protection

Your use of the Platform is subject to our Privacy Policy, available at www.reporty.sa/privacy. By using the Platform, you consent to the collection and use of your information as described therein. Healthcare Providers using the Platform to process patient health data must comply with applicable data protection and healthcare privacy laws (including HIPAA, GDPR, and Saudi PDPL) and must ensure that appropriate consents are obtained from patients before processing their data through the Platform.

11. Disclaimers

11.1 "AS IS" BASIS: The Platform and all Services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

11.2 No Medical Warranty: Reporty makes no representations or warranties regarding the accuracy, completeness, or fitness for clinical use of any AI-generated output, imaging analysis result, or patient communication generated through the Platform.

11.3 Third-Party Services: Reporty is not responsible for the performance, accuracy, availability, or content of any third-party services, including Meta Platforms, integrated healthcare systems, or payment processors.

11.4 Internet and Connectivity: Reporty is not responsible for delays or failures in performance resulting from causes beyond its reasonable control, including internet connectivity issues, power outages, or telecommunications failures.

12. Limitation Of Liability

12.1 To the maximum extent permitted by applicable law, Reporty and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or related to your use of or inability to use the Platform, regardless of the form of the claim or the theory of liability, and even if Reporty has been advised of the possibility of such damages.

12.2 Reporty's total aggregate liability to you for any claims arising out of or relating to this Agreement shall not exceed the greater of: (a) the total fees paid by you to Reporty in the 12 months preceding the claim; or (b) USD 100.

12.3 Certain jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. To the extent such limitations are not permitted in your jurisdiction, Reporty's liability shall be limited to the minimum extent permitted by applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Reporty and its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable legal fees) arising out of or relating to: a) Your use of or access to the Platform; b) Any User Content you submit; c) Your violation of these Terms; d) Your violation of any applicable law, regulation, or third-party rights, including patient privacy rights; e) Any claim by a patient arising from AI agent communications sent on your behalf.

14. Termination

14.1 Reporty may suspend or terminate your account and access to the Platform at any time, with or without notice, for any violation of these Terms, fraudulent activity, or for any other reason at Reporty's sole discretion.

14.2 You may terminate your account at any time by contacting support@reporty.sa. Account termination does not entitle you to a refund of any prepaid fees except as required by applicable law.

14.3 Upon termination, your right to access and use the Platform ceases immediately. Certain provisions of these Terms that by their nature should survive termination will do so, including intellectual property rights, disclaimers, limitation of liability, and indemnification.

15. Governing Law And Dispute Resolution

15.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to its conflict of law principles, except where mandatory consumer protection laws of your local jurisdiction provide for additional protections that cannot be waived by contract.

15.2 Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms, or their breach, termination, or validity, shall be submitted to binding arbitration. The seat of arbitration shall be Medina, Kingdom of Saudi Arabia, and the language of arbitration shall be English or Arabic as agreed by the parties.

15.3 EU / UK Users: If you are a consumer located in the European Union or United Kingdom, you may also refer disputes to your local consumer protection authority or use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

15.4 Class Action Waiver: To the extent permitted by law, you waive any right to bring or participate in any class action lawsuit or collective arbitration against Reporty.

16. Changes To These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or a prominent notice on the Platform. Your continued use of the Platform following notice of changes constitutes your acceptance of the revised Terms.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any applicable supplemental agreements, constitute the entire agreement between you and Reporty regarding the subject matter herein and supersede all prior agreements, representations, and understandings.
